On behalf of the Board of Directors of Kobay (“Board”), Affin Hwang Investment Bank Berhad (“Affin Hwang IB”) wishes to announce that the Company proposes to undertake the following:
(i) a bonus issue of up to 34,040,375 new ordinary shares of RM1.00 each in Kobay (“Kobay Shares” or “Shares”) (“Bonus Shares”) on the basis of (1) Bonus Share for every two (2) existing Kobay Shares held, on an entitlement date to be determined later (“Entitlement Date”) (“Proposed Bonus Issue”);
(ii) increase in the authorised share capital of Kobay from RM100,000,000 comprising 100,000,000 Kobay Shares to RM200,000,000 comprising 200,000,000 Kobay Shares (“Proposed Increase in Authorised Share Capital”); and
(iii) amendments to the Memorandum and Articles of Association of Kobay to facilitate the Proposed Increase in Authorised Share Capital (“Proposed Amendments”).
